2. Acceptance of Terms

By registering for an account or using the RoadCube platform, you agree to these Terms of Use. Both users and businesses must accept these terms before using RoadCube. To use the RoadCube platform, consumers must register via websites, mobile apps, tablet devices, SMS, Viber, email, or push notifications. Businesses can sign up via payment links or directly on roadcube.com.

8. Platform Functionality

RoadCube enables businesses to create custom loyalty and reward programs. Business owners can run campaigns both online (e.g., social media) and offline (e.g., SMS, Viber, email, push notifications) to interact with users and enhance customer engagement. RoadCube collects data from transactions made by consumers, including purchases of products or services, to make the loyalty, reward programs, or campaigns work effectively for businesses. RoadCube may also collect additional information, such as custom fields, as needed by businesses to tailor their programs. Consumers can earn and redeem rewards through transactions, visits, or engagement with campaigns.

RoadCube collects transaction data, including purchases of products or services, to facilitate the operation of loyalty, reward programs, and campaigns for businesses. RoadCube may also collect additional information, such as custom fields, as required by businesses to customize their programs.

Businesses and users are strictly prohibited from modifying, selling, or reselling the RoadCube software, or any part of it, without prior written consent and a valid license from RoadCube. Any unauthorized use of the software will result in immediate termination of your account and may lead to legal action.

15. RoadCube’s Ownership and Rights

RoadCube retains full ownership of the software and all related intellectual property. We reserve the right to delete any account or content (e.g., campaigns, products) that violates these Terms of Use, is abusive, or provokes harm to individuals. RoadCube is not obligated to provide support, but we may release updated versions of the software. Users and businesses are required to comply with the same terms for any updated versions of the software.

16. No Warranty

The RoadCube platform is provided "as is" and "as available," without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. RoadCube does not guarantee that the platform will be error-free, uninterrupted, or free from viruses or other harmful components.

Businesses create their own content via campaigns that reach users through SMS, email, Viber, push notifications, or paid campaigns on social media. By submitting content to the platform, businesses grant RoadCube a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content for the purpose of operating the platform.

18. Termination

RoadCube reserves the right to suspend or terminate your account if you violate these Terms of Use or engage in fraudulent activities. Businesses may terminate their subscription at the end of the billing cycle by providing written notice.

19. Force Majeure

RoadCube is not liable for any failure or delay in performance due to events beyond our reasonable control, including but not limited to acts of God, war, or government restrictions.

RoadCube is not responsible for the content or practices of third-party websites or services linked to or from the platform. Your use of third-party services is at your own risk.

21. Indemnification

You agree to indemnify and hold RoadCube harmless from any claims, damages, or losses arising from your use of the platform, violation of these Terms of Use, or infringement of any third-party rights.

29.Fair Usage Policy

To ensure fair access and prevent abuse, RoadCube enforces a Fair Usage Policy that applies to all users and businesses. Businesses must not engage in excessive automated usage, unauthorized data scraping, or actions that place an unreasonable load on RoadCube's servers. Additionally, businesses are prohibited from engaging in deceptive practices, including but not limited to spam campaigns, false advertising, and misleading reward programs. RoadCube reserves the right to suspend or terminate accounts that violate this policy, with or without notice, in order to protect the integrity of the platform.

30.Content Moderation & Compliance

All content created and shared on the RoadCube platform, including loyalty programs, promotions, and marketing campaigns, must comply with applicable laws, regulations, and ethical standards. Businesses are solely responsible for ensuring that their campaigns do not contain misleading claims, offensive content, or violate consumer protection laws. RoadCube reserves the right to review, moderate, and remove any content that is found to be in violation of these terms. In cases where illegal or unethical content is detected, RoadCube may take further action, including reporting violations to relevant authorities.

31. Security & Fraud Prevention

To maintain a secure and trustworthy platform, RoadCube has robust fraud detection mechanisms in place to identify suspicious activity. Businesses and users are prohibited from engaging in fraudulent practices, including creating fake accounts, fabricating transactions, or attempting to manipulate loyalty rewards. Any detected fraud will result in immediate account suspension, and RoadCube reserves the right to take legal action against offenders. Additionally, businesses must verify the authenticity of transactions and ensure that their campaigns operate fairly. Users who suspect fraudulent activity may report it directly to support@roadcube.com for further investigation.

RoadCube is committed to providing reliable customer support to assist users and businesses with any issues related to the platform. Support is available via email at support@roadcube.com, with response times typically within 24-48 hours on business days. While we strive to maintain uninterrupted access to the platform, occasional downtimes may occur due to maintenance, updates, or unforeseen technical issues. In such cases, we will make reasonable efforts to notify users in advance and restore services as quickly as possible. RoadCube is not liable for any disruptions, delays, or losses resulting from scheduled or unscheduled downtime.

These Terms of Use shall be governed by and interpreted in accordance with the laws of Delaware USA, without regard to its conflict of law principles. Any disputes arising from or related to these terms shall be resolved exclusively in the courts of USA Delaware. By using the RoadCube platform, you agree to submit to the jurisdiction of these courts and waive any objections based on venue or inconvenient forum.
